What exactly is Bonus Shares?

Companies pay dividend as a benefit to investors for investing in a company. Bonus Share is a way of paying back the investors without actually distributing cash.

If a company chooses to give bonus shares, then you’ll have more shares of the company that you originally held. For example, if you have 100 shares of a company, and the company gives out 25% bonus shares, then you’ll have 125 shares of the company.

Distributing bonus shares decreases the value of each individual share as the same cap is now divided into more shares. But it can be beneficial in the long run when the company distributes cash dividend. In Nepal, you get cash dividend on the face value per share, i.e 100 NRs. So if a company decides to distribute 10% bonus share, you’d have gotten 10 NRs per share. In total you’d have got 1000 NRs for 100 shares. But after receiving bonus shares, you have additional 25 shares, so you’ll get 1250 NRs.

The the market cap of the company remains same after bonus share issuing, but the total number of shares among which the market cap is divided has increased, the price of each individual share decreases. Why do Companies Give Bonus Shares?

There can be a few reasons why a company doesn’t give bonus shares, but it all boils down to one final reason. The company can’t or doesn’t want to distribute cash. It can have several reasons.

Although it might seems like a company having low cash reserves if it doesn’t distribute cash dividends. But it’s not so in most cases. Some common reasons a company distribute bonus shares and not cash dividends are:

  1. Retain Profits: The company might want to have cash in hand for further growth operations.
  2. Tax Benefits: Cash distribution for dividend is liable to tax, where as bonus share doesn’t incur taxes.
  3. To Maintain Good Cash Liquidity

How do Apply for Bonus Shares?

To get bonus shares of a company, you do not need to apply for bonus shares. The bonus shares of a company is directly deposited in your Demat account and you can see the bonus share in your Meroshare account after the distribution. If a company distributes 25% bonus shares, then you’ll have additional 25% shares in your demat account of that company.

You don’t need to apply for bonus shares, you just need to hold the shares of the company in your DEAMT account before the book-closure date of the company.

  2. The capital of total shares held is not increased even as the shares held is increase as company’s total market capital is same as before.
  3. The EPS and dividend yield of the share is decreased as the floating shares is increased for the same amount of earnings. This might make some investors less interested in the future.
  4. For the company, the cost of administering bonus shares is more than paying cash dividend.
